Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On September 12, 2018, Mark Solomon announced his intention to resign as Vice President - Controller and the principal accounting officer of SM Energy Company (the “Company”), effective as of October 1, 2018. There were no disagreements between Mr. Solomon and the Company or any officer or director of the Company that led to Mr. Solomon’s decision to resign.
